In connection with such representation, we advise clients on the most advantageous form of ownership entity for a particular business or venture, and then prepare articles of incorporation or organization, limited liability company operating agreements, shareholder agreements, partnership agreements, joint venture agreements and related organizational documents, as appropriate. After formation we assist in the preparation of buy-sell agreements, employment contracts, minutes and other corporate resolutions, and assist in drafting and negotiating all types of business contracts. The members of the firm practicing in this area have significant experience in representing clients in corporate stock redemptions, mergers and acquisitions.
